For more than 20 years, Globeleq has been a long-term investor, developer, owner and operator of diversified power projects in Africa, where the company is one of the largest Independent Power Producers., With nearly 1900MW of generation capacity in operation across 17 power plants in 7 countries, 485MW of new power projects in construction and >2,000MW in development, Globeleq is one of the largest independent power producers solely focused in Africa. Globeleq is 70% owned by British International Investment and 30% by Norfund, the development finance institutions of the UK and Norway, and has a proven track record for supporting the ongoing development of the African power sector.

Globeleq’s various generation technologies include gas, wind, solar PV, battery energy storage (BESS), and geothermal. The company is also actively pursuing new opportunities which are emerging from the energy transition, including desalination projects powered by renewables, as well as green hydrogen and ammonia projects.

To support the Legal and the company’s growth across Africa, Globeleq is now seeking to recruit a Senior Lawyer. This is an exciting opportunity to join a high performing and supportive team and is now implementing transformational projects across the African continent.

This role will provide legal support to the Globeleq group of companies to in relation to development activities, asset management and good corporate governance.

Key Responsibilities

Project Acquisitions/Development
  • Provide/review non-disclosure agreements.
  • Assist with initial due diligence of projects.
  • Manage KYC of developers/sellers and any potential partners.
  • Provide draft/advise on projects acquisition agreements, joint development agreements and/or management services agreements, drafting initial project documents, including term sheets, and related letters and notices.
  • Assist with drafting and review of all legal documents pertaining to operation of the business (including lease agreements, service agreements, grant agreements, supply agreements, and general terms and conditions of contract counterparties and service providers).
  • Planning assistance for deal timeline.
  • Manage cost-competitive process to appoint external counsel where required.
  • Managing external counsel following their appointment.
  • Contract drafting and negotiation and taking projects through to successful conclusion.
Project Finance Transactions
  • Provide drafts, advise on and negotiate project documents, including Offtake agreements (PPAs), wheeling agreements, EPC and O&M agreements and finance agreements and related security agreements.
  • Provide support to achieve financial closure of Projects, including procuring legal opinions and conditions precedent management.
  • Manage external legal resources both from a work product and cost perspective (Lender Legal and Project/Sponsor Legal).
  • Assist with any fund-raising initiatives including supporting commercial team in creating and managing electronic data rooms, managing lenders due diligence process, contract drafting and negotiation.
Construction and Operations
  • Assist and manage contractual claims or legal disputes that arise during construction with third party contractors.
  • Draft waiver requests to lenders when required.
  • Assist with management of existing Globeleq assets including fielding day to day enquiries from on-site teams, assisting project manager with any post completion matters, ongoing document management, assisting with any post completion initiatives.
Group, Governance and General
  • Responsible for document management for all assigned projects.
  • Provide advice and support in respect of all legal aspects of the business, including internal structuring, intra-company service level agreements and reorganisations.
  • To undertake legal risk analysis and work with commercial team in order to obtain all necessary approvals (Globeleq, BII and Norfund) for proposed investments/acquisitions/disposals/joint ventures.
  • Assist with preparation of internal approvals required including investment committee papers, board resolutions and board packs.
  • Assist with preparation of policy documentation for the Globeleq group, and to provide on-going guidance and ensure adherence by project teams in relation to the anticorruption and code of conduct policies of the Globeleq group.
  • To assist General Counsel and Company Secretary to ensure good corporate governance including working with Shareholders (BII and Norfund) to document parent/shareholder arrangements and assisting with ad hoc corporate secretarial matters

Experience, Knowledge and Qualifications

  • Bachelor´s Degree in Law
  • Minimum of 6 years post-admission experience, 4 years of which has been in the project finance and/or utility-scale energy industries.
  • Experienced legal counsel with proven power project transaction record gained in well regarded private practice firm and/or in-house
  • Experience of greenfield development, ideally gained in emerging markets
  • Experience of working with lenders, financiers, EPC Contractors, OEMs and joint venture partners
  • Some M&A and Company Corporate experience would be helpful
  • Some construction dispute experience would be helpful
