Climate Fund Managers (CFM) is a leading climate-centric blended finance fund manager. It raises and deploys climate finance funds in partnership at scale and at pace. Through its award-winning model, CFM has created a blueprint for a new generation of climate financiers, whose collective impact can help end the climate crisis. CFM currently manages two emerging market infrastructure funds focused on climate change mitigation and adaptation: Climate Investor One, a c. USD 1 billion fund focused on renewable energy, and Climate Investor Two, a c. USD 1 billion fund focused on water, sanitation and oceans infrastructure. CFM is currently implementing further blended finance initiatives in the green hydrogen, power transmission and cities sectors focused on development, equity, debt and guarantee financial instruments. Established in 2015, CFM is a joint venture between the Dutch development bank, FMO, and Sanlam InfraWorks, part of the Sanlam Group of South Africa with offices in The Hague, Cape Town, Singapore and Bogota.

Climate Fund Manager’s (CFM) is seeking to strengthen its Governance team based in Claremont, Cape Town, South Africa, with a smart, pro-active Company Secretary reporting to the Senior Governance Manager in order to manage its governance function regarding CFM and all CFM Funds.

This includes all related Company Secretarial functions, and indirect oversight of related activities in the Funds, assets and committees across all regions, including South Africa, the Netherlands, Asia and Namibia.

Key Duties and Responsibilities

Company Secretarial Function

  • Preparation, planning and scheduling of all board, board sub-committee, deal screen and investment committee meetings, which includes annual work plans and meeting schedules, preparation of agendas, managing of stakeholders, compiling meeting papers, timely circulation of meeting papers, taking and timeous circulation of minutes and managing the execution and closing of matters arising from meetings.
  • Preparation of Board and Committee Charters
  • Maintaining governance registers and trackers in respect of meetings, resolutions and matters arising from meetings
  • Support in respect of the appoint­ment, resignation and removal of directors and committee members
  • Managing process in respect resolutions and other decision-making activities across all board, board sub-committees and fund committees to ensure compliance with Constituent documents
  • Managing compliance with Know Your Client (KYC) requests on CFM and CFM funds, as well as maintenance of records to adequately and timeously respond to the KYC requests.

Corporate Governance

  • Support the Senior Governance Manager in advising and assisting directors and committee members on their fiduciary and other governance responsibilities by providing guidance on their responsibilities and duties and how to properly discharge them.
  • Ensure adherence to the internal governance processes.
  • Reviewing legislative and regulatory developments and ensuring awareness of all relevant law and legislation and provide guidance and advice on good governance and changes in legislation.
  • Ensuring company's details are accurate and meet legislative and regulatory requirements.

Qualifications & Experience

  • Law degree or equivalent.
  • A qualification in Company Secretarial & Governance would be beneficial.
  • 3 – 5 years’ post qualification experience, preferably in a company secretarial and corporate governance role within the Financial Services industry
  • Experience and updated knowledge of compliance, including corporate governance and corporate housekeeping.
  • Ability to prepare agenda, draft minutes, compile and maintain secretarial records, company law and filings, supporting internal and statutory audit
