A. About GreenCo Power Services (Pty) Limited (GreenCo)

GreenCo is a renewable energy intermediary, its primary role being a creditworthy offtaker and service provider to IPPs, and on-selling power to C&I customers, the competitive markets of the SAPP, and to utilities such as on Eskom’s Standard Offer Programme. B. The Role in Context

We are seeking a motivated Junior Transaction Lawyer to join our in-house transactions team. This role offers an exciting opportunity to work on the legal aspects of financing and developing renewable energy projects, as well as negotiating with large scale industrial entities on the customer side. The right candidate will be joining an existing team of three lawyers, consisting of the Chief Commercial Officer, a Senior Transaction Lawyer and a Transaction Lawyer. Whilst the Junior Transaction Lawyer will primarily support the transactions team, the candidate will also be expected to support the regulatory and compliance team on occasions.

Key duties:

Supporting the wider transactions team on reviewing, negotiation, management and execution of energy transactions, including:

· reviewing, drafting and amending power purchase agreements (PPAs) and/or power supply agreements (PSAs), and other transaction documents such as security documentation and notices

· preparing table of comments / issues lists

· conducting due diligence

· managing conditions precedent checklists

· coordinating with external counsel

· coordinating with counterpartie

Supporting the business development team, including:

· management and coordination with IPPs and customers

· undertaking due diligence of IPPs and customers

· undertaking KYC activities

· assisting in pitch preparation

· preparing heads of terms for PPAs and PSAs

· preparing letters of intent or expression of interest

· preparing MOUs

· preparing legal sections of presentations
Regulatory:

· research and preparing reports / legal summaries of legislation and regulations

· engagement with regulators, including drafting letters / preparing presentations

Candidates will be expected to demonstrate strong analytical skills, attention to detail, commercial awareness, and the ability to work collaboratively within a small fast growing business. A solid foundation in project finance from your prior work experience is essential, along with a keen interest in energy markets.

As GreenCo is a regional business, candidates must be willing to travel.


C. Qualifications and Requirements

The Junior Transaction Lawyer will be expected to bring a combination of the following experience, personal attributes and qualifications:

  • Qualified Lawyer
  • Experience of working within an established project finance practice at a top tier law firm
  • Power sector experience, in particular familiarity with PPAs and/or PSAs.
  • Impeccable spoken and written English
  • An understanding of the sub-Saharan African power market, the Southern African Power Pool markets and key technologies employed by an IPP in renewable energy power generation will be viewed favourably;
  • Familiarity with lender and bankability requirements for power projects in project finance;
  • Ability to build relationships and work collaboratively;
  • Innovative self-starter who can work independently and use own initiative.

E. Time Commitment

This is a full-time role. While the standard working week is 40 hours, the ideal candidate must be willing to travel and work flexible hours to achieve GreenCo’s business objectives.
